摘要:
我国新《公司法》在法律上确立了一人公司的法律地位。在实践中，一人公司在公司治理结构方面存在较突出的问题，容易导致公司法人人格和有限责任原则的滥用。为更好地完善我国一人公司制度，促进一人公司的健康发展，有必要完善一人公司的法人治理结构，扩大公司法人人格否认制度的适用范围，建立完备的财务监督制度，严格执行资本充实和维持制度，完善我国的信用体系。
Abstract:
The new law of corporation of China has admitted oneholder company. In practice，the oneholder company has prominent problems concerning government structure，and these problems lead to the abuse of company legal personality and limited liability principle. In order to improve the oneholder company system and facilitate the oneholder company development，its necessary to make better the government structure and enlarge the applying scope of the principle of lifting the corporate veil. In addition to these，the concerned financial supervision system must be erected，the concerning capital enrichment and maintenance system must be executed severely，and the credit systems must be improved.
